Welcome to Ascentrade (the "Service"), a cloud-hosted trading utility for journaling, risk rules, copy trading, and AI watchers Software-as-a-Service (SaaS) platform operated by Thorp Systems ("we," "us," or "our"). By registering for, accessing, or using the Service, you ("User," "you") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not access or use the Service.

2. Nature of the Service

Ascentrade is a trading utility for journaling, risk rules, copy trading, and AI watchers. We are not a trading platform, broker, custodian, or financial institution; we provide software tooling and utility services. We do not offer financial, investment, tax, or legal advice.

Non-Custodial: Ascentrade does not receive, hold, manage, or have custody of user funds, deposits, or assets.
Third-Party Integrations: Users connect their own third-party brokerage accounts (e.g., MetaTrader 5 / MT5) or cryptocurrency exchange accounts (e.g., Binance, Bybit) via encrypted credentials provided by the User.
No Trade Execution Services: Trade execution is completed solely by the User's third-party broker or exchange. Ascentrade acts purely as an interface to track, record, and analyze trade data.

3. Automated Risk Management & Execution Rules

The Service provides a risk management feature allowing Users to define custom rules (e.g., maximum risk per trade, trade counts, or loss thresholds).

Automated Trade Actions: By enabling risk management rules, you explicitly authorize the Service to monitor your connected accounts and, when defined criteria are met, initiate trade closures or alerts.

Disclaimer of Automated Execution Risk: You acknowledge that network latency, API outages, broker execution delays, or server disruptions may prevent or delay rule enforcement. Ascentrade is not responsible for any financial losses resulting from the execution, delayed execution, or failure to execute any automated rule.

4. User Accounts and Security

You are responsible for maintaining the confidentiality of your credentials and API keys. You agree to provide accurate and complete registration information and to notify us immediately of any unauthorized access or security breach.

5. Limitation of Liability

To the maximum extent permitted by law, in no event shall Thorp Systems or its affiliates be liable for:

Any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to loss of profits, trading losses, trading capital, data, or goodwill.
Any technical issues, server downtimes, API failures, or network disruptions between Ascentrade, your MT5 terminal, or third-party exchanges.

6. Intellectual Property

All content, design, layouts, logos, software, and databases associated with the Service are the exclusive property of Thorp Systems. You are granted a limited, non-exclusive, non-transferable license to access the platform for personal or internal business use.

7. Termination

We reserve the right to suspend or terminate your access to the Service at our sole discretion, without notice, for conduct that we believe violates these Terms, is harmful to other users, or infringes on third-party rights.
